HELLENiQ ENERGY Holdings (the “Company”) announces that the delivery and start of commercial operations for two photovoltaic parks in southern Romania, with a total capacity of 58 MW, have been successfully concluded, in accordance with an agreement signed in 2023 with METLEN for the construction and acquisition of four photovoltaic parks with a total capacity of 211 MW. The delivery and start of operations of the remaining two projects, with a total capacity of 153 MW, are expected within 2026.

FY25 Adjusted EBITDA at €1.13bn, with Adj. Net Income at €0.5bn on the back of strategic transformation and favorable environment – Strong operational performance across all businesses, especially in international markets – FY25 dividend of €0.60 per share

HELLENiQ ENERGY Holdings S.A. (the “Company”) announces that, its wholly-owned subsidiary HELLENiQ UPSTREAM Holdings S.A. (“HELLENiQ UPSTREAM”), in partnership with Chevron, has signed Lease Agreements with the Hellenic Republic concerning the exploration of four offshore blocks located south of Crete and the Peloponnese. This new concession agreement complements and consolidates the Company’s exploration & production portfolio in Greece.

HELLENiQ ENERGY Holdings S.A. (the "Company"), further to the notification received on 21 January 2026, announces, in accordance with Article 19 of the Regulation (EU) 596/2014 of the European Parliament and of the Council of 16 April 2014, as well as L. 3556/2007, that Mr. Theodoros-Achilleas Vardas, a non-executive member of the Board of Directors of the Company, executed on 16 January 2026, an over-the-counter, free of payment transfer of 15,396 common, registered shares of the Company, from his individual investor account to a joint investor account, in which his spouse Ioulia – Alexandra Varda also participates as a co-holder, and as a result of this transfer she acquires rights over the aforementioned shares.

In relation to the distribution of the interim dividend for the fiscal year 2025 of HELLENiQ ENERGY Holdings S.A. (the "Company"), which amounts to €0.20 per share, as decided by the Company's Board of Directors during its meeting that took place on 13.11.2025, we remind you that, on Monday, 19 January 2026, the Company's shares will trade ex- dividend, thereby without the right to receive the aforementioned dividend.
